Terms of Service
1. The agreement
These Terms of Service ("Terms") form a binding agreement between you ("you", "User") and Sean Twomey, an individual operating under the trade name "Vybes Lab" (collectively, "Vybes Lab", "we", "our", "us"). By accessing or using the Vybes Lab website or any service we provide through it (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. The Service
Vybes Lab provides an automated audio-mastering service. You may upload an audio file you own (or otherwise have full rights to process). The Service produces a mastered version of the file that you can preview and, with a free credit or paid purchase, download. We do not retain your file beyond the time required to process and deliver the result.
3. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service you represent and warrant that you meet this requirement.
4. Your file, your rights
You retain all ownership and rights in any audio file you upload to the Service. By uploading, you grant Vybes Lab a non-exclusive, royalty-free, time-limited license to process the file solely to provide the Service to you. The license expires when your session ends or the rendered output is delivered, whichever is later. We do not retain, use, share, or transmit your audio for any other purpose.
5. Your warranties about uploaded content
You represent and warrant that:
- You own all rights in the audio you upload, or have all necessary permissions and licenses from rights holders to process it through the Service.
- Your use of the Service does not infringe any copyright, trademark, contract, right of publicity, privacy right, or other right of any third party.
- You will not upload content that is illegal, defamatory, obscene, or otherwise prohibited by applicable law.
You indemnify and hold harmless Vybes Lab from and against any claim arising from a breach of this section, including reasonable attorneys' fees.
6. DMCA / copyright complaints
Vybes Lab respects the intellectual-property rights of others. If you believe content processed through the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to the contact address listed below identifying the work, the allegedly infringing use, your contact information, and a sworn statement of authority. Repeat infringers will be denied access to the Service.
7. Payments and pricing
Payments are processed by Stripe, Inc. ("Stripe"). Use of payment features is subject to Stripe's terms and privacy policy, available at stripe.com/legal and stripe.com/privacy. Stripe collects and processes your payment card information; Vybes Lab never sees or stores your full card number.
Current pricing tiers:
- Free tier: three (3) full-track exports per device. Free-tier eligibility is tracked in your browser.
- Single export: a one-time $1.99 USD purchase that unlocks one (1) additional full-track export.
- Album Pass: a one-time $14.99 USD purchase that unlocks unlimited full-track exports for thirty (30) days from the time of purchase.
All amounts are stated in U.S. dollars and exclude any applicable sales, use, or VAT-type taxes for which you remain solely responsible. Pricing may change with notice posted on the site.
8. No refunds — all sales final
All purchases on Vybes Lab are non-refundable. Once a Single export has been rendered and delivered to you, or once an Album Pass has been issued, the transaction is final and no refund will be issued. By completing checkout, you expressly consent to immediate access to the purchased credit or pass and acknowledge that you waive any statutory right of withdrawal that may otherwise apply (including, where applicable, EU directive 2011/83/EU article 16(m)). If you believe a payment was made in error, contact the address in Section 18; we will review on a case-by-case basis but are under no obligation to refund.
9. Service availability
The Service is provided on an "as available" basis. We do not guarantee uninterrupted operation, error-free performance, or that the Service will meet any particular requirement. Planned and unplanned downtime may occur for maintenance, security incidents, third-party outages (including hosting providers, payment processors, and content delivery networks), or other reasons outside our control.
10. Acceptable use
You agree not to:
- Reverse-engineer, decompile, disassemble, scrape, or otherwise attempt to derive the source code or proprietary algorithms of the Service, except where permitted by applicable non-waivable law.
- Bypass or attempt to bypass the free-tier counter, payment gate, or any other access control.
- Use automated systems (bots, scripts, headless browsers) to access the Service in a way that exceeds normal human use without prior written permission.
- Use the Service to develop, train, or evaluate competing products or machine-learning models.
- Upload audio that contains malware, exploits, or other harmful payloads.
- Resell, redistribute, or sublicense access to the Service.
We may suspend or terminate access at any time, with or without notice, for any breach of these Terms or for any other reason in our sole discretion.
11. Intellectual property
The Service, including all software, source code, audio-processing algorithms, visual design, user interface, branding, trademarks, logos, and documentation, is the proprietary property of Sean Twomey dba Vybes Lab and is protected by United States and international copyright, trademark, and other intellectual-property laws. Nothing in these Terms grants you any ownership or license in the Service except the limited right to use it as expressly described.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VYBES LAB DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE OUTPUT OF THE SERVICE WILL MEET YOUR EXPECTATIONS, BE SUITABLE FOR ANY PARTICULAR USE, OR COMPLY WITH ANY DELIVERY SPECIFICATION OF ANY STREAMING SERVICE OR OTHER PLATFORM.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VYBES LAB AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VYBES LAB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.
14. Indemnification
You agree to defend, indemnify, and hold harmless Vybes Lab from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, including any intellectual-property or privacy right, or (d) any content you upload to the Service.
15. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of those courts.
16. Changes to these Terms
We may update these Terms from time to time. Changes will be effective when the revised Terms are posted to vybeslab.com. Continued use of the Service after a change constitutes acceptance of the revised Terms. Material changes will be indicated by an updated "Last updated" date at the top of this page.
17. Severability and entire agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vybes Lab regarding the Service and supersede any prior agreements or communications on the subject.
